Your responsibilities as Senior Lawyer in the Corporate M&A Team:
- Leading and executing complex M&A transactions from start to finish, including share and asset deals, restructurings, joint ventures, and private equity transactions.
- Advising clients on all aspects of corporate law, including governance, shareholder relations, and transactional strategy.
- Drafting, reviewing, and negotiating a broad range of corporate and transactional documents such as SPAs, term sheets, and due diligence reports.
- Managing due diligence processes, coordinating with internal teams and external stakeholders to ensure a smooth and efficient workflow.
- Acting as a trusted advisor by providing practical, business-oriented legal advice tailored to each client's strategic objectives.
- Supervising and coaching junior lawyers, reviewing their work, and contributing to their professional development through knowledge sharing and feedback.
- Collaborating closely with partners and counsels, taking initiative to identify issues and propose solutions proactively.
- Participating in client meetings and negotiations, ensuring high-quality delivery and maintaining long-term client relationships.
- Engaging in internal knowledge sharing, including presenting updates on recent legal developments or contributing to internal training sessions.
A successful Lawyer in Corporate M&A should have:
- Belgian-qualified lawyer with strong academic credentials.
- 4 -8 years of experience in Corporate Law and M&A, gained at a reputable law firm or in-house.
- Native-level Dutch, fluent in English, and good command of French (able to interact with clients).
- Entrepreneurial mindset, capable of working both independently and as part of a team.
- An LL.M. from an English-speaking university is a strong plus.
