Working closely together with your colleague lawyer/legal advisor/account manager, you will be reporting directly to the Managing Directors; Your responsibilities will include:
• Setting up new structures/companies by establishing local Belgian entities and taking the necessary steps to make same operational in line with clients' wishes, local regulations and our client's Group policies; Assistance in amending and unwinding corporate structures; Liaise with other offices of our client to co-ordinate the setting up or functioning of structures in other jurisdictions;
• Manage and follow-up the corporate secretarial services work for clients (organisation of general meetings of shareholders and board meetings, drafting minutes and special reports, preparation of corporate publications, etc….);
• Drafting, designing or review of specific legal documentation, standard contracts (long lease contracts, share purchase agreements, share lending agreements, loan agreements, …) or standard legal documents based on existing templates;
• Attending and/or representing our client at shareholders or board meetings, at meetings with clients, lawyers, notaries, auditors, tax advisors, property managers or any other client advisors;
• Act as account manager for more complicated or elaborated (from a legal point of view) client files (acting as liaison between clients and our client, follow-up filing obligations and procedures etc...);
• Providing "first-aid" legal assistance to accountants and account-managers covering a wide range of legal matters (corporate law, commercial law, social law, labour law, ...);
• Acting as local compliance officer being involved in the intake process of new clients and responsible for all compliance work in relation to new clients and the update of compliance files;
• Assistance in managing debt recovery files;
• Responsible for the day-to-day management and administration of an allocated corporate client portfolio. Coordinating and maintaining contacts with clients, tax- and legal advisors, notaries and other offices all over the globe;
• Making/keeping legal/fiscal knowledge of regulations and products up-to-date and making specific knowledge available;
• Assisting in payroll related administrative matters and legal issues;
Profiel
• Jurist, holder of a Master degree in Belgian Law (preferably containing a specialisation or experience in corporate, commercial or tax law);
• Interest for accounting and tax related issues;
• Practical and proven experience of minimum 3 years in a similar professional environment (Law Firm, Investment company, Trust Company or International Audit firm) in maintaining an own client portfolio consisting of more complex corporate structures including holding, real estate, investment and commercial companies;
• Excellent working knowledge of the local rules/laws;
• Fluent (both orally and in writing) in English and French or Dutch is mandatory; Fluency in any other European languages would be an asset;
• Able to work independently and to multi-task in a fast-paced environment in all legal / administrative matters related to a portfolio of clients and co-operate with others in a strong TEAM environment;
• Dynamic, sociable, very committed, client- and service-oriented and working with a high level of common sense;
• Good organisational and managerial skills; Display a pro-active and entrepreneurial attitude;
• Ability to communicate and interact well with both clients and colleagues;
• Ability to manage multiple projects at the same time, to work under pressure and to meet deadlines;
• Eager to learn and capable of being proud of your job;
• Computer proficient with extensive experience in word-processing;
